1. Scope of Services
Vesperlith provides enterprise-grade technology solutions, including but not limited to custom software development, digital automation pipelines, and infrastructure consulting. The specific deliverables, timelines, and costs for customized services will be outlined in separate Statements of Work (SOW) or Service Level Agreements (SLA).
2. Intellectual Property
Unless explicitly stated otherwise in a separate SOW, all methodologies, frameworks, preexisting codebases, and intellectual property utilized or created by Vesperlith during the provision of services remain the exclusive property of Vesperlith. Clients are granted a non-exclusive, non-transferable license to use the delivered software strictly for their internal business operations.
3. Client Responsibilities
Clients agree to provide timely access to necessary resources, APIs, data, and personnel required for Vesperlith to perform its services. Vesperlith is not liable for project delays caused by the client's failure to meet these obligations.
4. Limitation of Liability
To the maximum extent permitted by law, Vesperlith shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to Vesperlith for the specific service giving rise to the claim during the preceding 12 months.
5. Warranties & Disclaimers
Our services are provided on an "as is" and "as available" basis. While we engineer our solutions to the highest enterprise standards, Vesperlith explicitly disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be completely error-free or uninterrupted.
6. Indemnification
You agree to indemnify, defend, and hold harmless Vesperlith and its engineers from any claims, damages, liabilities, or expenses arising from your use of the services, your violation of these Terms, or your infringement of any third-party rights.
7. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in India.
